海牙认证一定要董事签字么？

海牙认证也叫国际公证，英文说法为Apostille认证，是指《海牙关于取消外国公文认证要求的公约》，

在海牙签约国之间相互承认的一种由特定的官方机构对其认证公文上其主管部门所做签字、

盖章的真实性予以确认的行为过程和结果的一种特定的认证。该种认证，通常简称为“海牙认证”，

主要针对文书用于海牙成员国或地区，使得海牙成员国所出具的文件可以在其他海牙成员国得到认可，

并且有效使用。但海牙认证不是对所需认证文件内容的真伪做认证，而是对原认证的签发人(公证处或国际公证人)的二次认证，

认证该公证处或国际公证人是有资质出具原认证文件。加签之前要先对认证文件办理国际公证，然后再到香港高人民法院做加签，

因此整个过程称作海牙认证或加签。特别是对于外贸出口业来说，大多数的文件如产品授权书、ISO/EC证书、销售证书、

公司资质(如营业执照、税务登记证)等，出国使用时很多时候都需要办理海牙认证的。

1、如果美国公司在中国开设分公司，至少需要提供美国公司章程认证、美国公司存续证明认证、银行资信证明认证
